1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the ST Systems website, the Compliance Engine application for Shopify merchants, and related services offered by ST Systems ("we," "our," or "us"). By accessing or using our website, installing or using our Shopify app, or engaging our services, you agree to these Terms.

If you do not agree, you must not use our website, app, or services. We may update these Terms from time to time; the "Last updated" date above will change when we do. Continued use after changes constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

2. Eligibility and accounts

You represent that you have the legal capacity and authority to enter into these Terms. If you use our services on behalf of a company or other entity, you represent that you are authorized to bind that entity.

Shopify merchants are responsible for their Shopify account, store settings, and compliance with Shopify's own terms and policies when using Compliance Engine or other integrations we provide.

3. Our services and the Compliance Engine app

We provide software, consulting, and related technology services as described on our website or in separate agreements. Compliance Engine is a Shopify app intended to help merchants configure and display compliance-related messaging and maintain operational records in connection with that messaging.

Compliance Engine does not provide legal advice. Merchants remain solely responsible for determining what notices or disclosures they are required to show, the content of those notices, and compliance with applicable laws and regulations. The app is a technical tool to help implement merchant-defined rules and record certain events—not a substitute for qualified legal counsel.

4. Acceptable use

You agree not to:

  • use our website, app, or services in violation of law or third-party rights;
  • attempt to gain unauthorized access to our systems, other users' data, or Shopify infrastructure;
  • interfere with or disrupt the integrity or performance of our services;
  • reverse engineer, decompile, or circumvent technical limitations except where expressly permitted by law;
  • use our services to transmit malware, spam, or misleading content.

5. Intellectual property

The website, Compliance Engine, documentation, branding, and related materials are owned by ST Systems or our licensors and are protected by intellectual property laws. Subject to these Terms and any separate license (e.g., Shopify app terms), we grant you a limited, non-exclusive, non-transferable right to use our services for their intended purpose during the term of your relationship with us.

You retain ownership of your own content and data. You grant us a license to host, process, and use such materials as reasonably necessary to provide and improve the services, consistent with our Privacy Policy.

6. Third-party services

Our services may depend on or integrate with Shopify and other third-party platforms. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services or for outages, changes, or actions taken by third parties.

7. Disclaimers

Except where prohibited by law, our website, app, and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that any content or output will meet your legal or regulatory obligations.

8. Limitation of liability

To the maximum extent permitted by applicable law, ST Systems and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of our website, app, or services—even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of (a) the amount you paid us for the services giving rise to the claim during the twelve (12) months before the claim or (b) one hundred U.S. dollars (USD $100), if you have not paid fees in that period—except where such limitations are not enforceable under applicable law.

9. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless ST Systems and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the services, your content, your violation of these Terms, or your violation of third-party rights.

10. Suspension and termination

We may suspend or terminate access to our services if you materially breach these Terms, if required by law, or to protect the security or integrity of our systems. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

11. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your jurisdiction apply. You agree that the courts located in New York County, New York will have exclusive jurisdiction over disputes arising from these Terms or the services, subject to any mandatory arbitration or venue rules that cannot be waived by contract.
